This website provides customers (“you”, “your”, “Customer”, “Buyer” or “Subscriber”) with access to product information, documentation, and online purchasing capabilities.
By using this site, you agree to comply with these Terms and Conditions and our Privacy Policy. If you do not agree, please discontinue use. Existing users may request removal of their profile by contacting customer service.
1. Sale and Product Acceptance
All orders are subject to these Terms and require Buyer’s assent.
Shipment of products is conditioned upon acceptance of these Terms.
No variation shall be binding unless agreed to in writing by an authorized representative.
Buyer must inspect products upon receipt and notify Seller of issues within five (5) days.
Failure to notify constitutes irrevocable acceptance.
2. Product Delivery, Claims, and Delays
Products are shipped FOB Destination via authorized carriers.
Risk of loss transfers to Buyer upon delivery to the carrier.
Seller may deliver in installments; delays do not relieve Buyer’s obligations.
Seller is not liable for delays caused by events beyond reasonable control.
3. Order Placement and Charges
Registering on the website is free for eligible Subscribers.
Subscribers may purchase Products at listed prices by completing an electronic order form.
Seller charges for shipping, handling, and applicable taxes.
All charges are displayed prior to order placement.
Part 2: Changes, Returns, Pricing & Taxes
4. Changes, Cancellations, or Returns
Orders may only be changed by written agreement signed by both Buyer and Seller.
Cancellations must be approved by Seller.
Returns require authorization and may incur restocking fees (15% non-hazardous, 25% hazardous).
Hazardous products must be returned via Hazmat shipping in compliance with DOT regulations.
Credits expire six (6) months after issuance and are unavailable if account balances are past due.
No credit for discontinued, customized, non-Seller products, refrigerated/temperature-controlled items, opened reagents, or products shipped outside the U.S.
5. Pricing and Payment
Seller reserves the right to change product specifications and pricing at any time.
Buyer must verify all order confirmation details before shipment.
Payment is due upon shipment unless an open account is established (net 30 days).
Late payments may incur interest at the highest lawful rate and collection costs.
All payments must be made in U.S. Dollars.
6. Taxes and Other Charges
Buyer is responsible for all applicable taxes, duties, and fees.
If Seller is required to pay such charges, Buyer must reimburse Seller or provide a valid exemption certificate.
Part 3: Warranty, Compliance & Use of Products
7. Limited Warranty, Liability, and Disclaimer
Seller warrants products conform to descriptions for twelve (12) months or stated life, whichever is shorter.
Warranty excludes misuse, improper storage, or alteration.
Remedies are limited to replacement or refund.
Seller disclaims all other warranties and is not liable for incidental or consequential damages.
All claims must be brought within one (1) year of shipment.
8. Compliance with Laws and Regulations
Seller certifies compliance with applicable labor and safety laws.
Buyer must comply with all laws regarding use of products and services.
9. Buyer’s Use of Products
Products are for laboratory research only.
They are not to be used for diagnostics, food, drugs, medical devices, cosmetics, or commercial purposes.
Buyer warrants compliance with all laws and assumes responsibility for hazards and proper use.
Products may not be resold or transferred without Seller’s written consent.
Part 4: Indemnity, Patent, Technical Assistance & Miscellaneous
10. Buyer’s Representations and Indemnity
Buyer agrees to indemnify and hold Seller harmless from claims arising out of product use or resale.
Buyer must notify Seller of incidents within fifteen (15) days and cooperate in investigations.
11. Patent Disclaimer
Seller does not warrant that use or sale of products will be free from patent infringement.
12. Technical Assistance
Technical assistance may be provided at Seller’s discretion. Seller makes no warranties regarding such assistance. Buyer assumes responsibility for reliance on technical information.
13. Miscellaneous
Failure to enforce any term does not constitute waiver.
Rights and remedies are cumulative.
Seller may assign rights and obligations.
Invalid provisions do not affect enforceability of remaining terms.

Hitobiotec reserves the right to amend these Terms at any time by posting updates on www.hitobiotec.com.
Continued use of the site constitutes agreement to revised Terms.
Products, pricing, and content may be modified at Seller’s discretion.
